These terms are an agreement between you and Ceiling Co. ("Ceiling", "we", "us"), a Wisconsin company. They apply when you or your business sign up for or use Ceiling. If you use Ceiling for a business, you accept them for that business.

If you are a client of a coach who uses Ceiling, your coach's own terms govern your relationship with them. The acceptable use rules below apply to you too.

Accounts

  • You must be at least 18 and able to enter a contract.
  • Give us accurate information and keep it up to date.
  • Keep your sign-in secure. You are responsible for what happens in your account, including what your team members do.
  • Tell us right away at legal@ceiling.app if you think your account has been misused.

Your responsibilities to your clients

Your clients are your clients. You run your business on Ceiling, and you are responsible for it. In particular, you:

  • Are the controller of your clients' data, and Ceiling processes it for you as described in our privacy policy.
  • Publish your own terms, privacy notice, waiver and any health disclaimer, and get any consent the law requires.
  • Collect only the client data you need, and keep sensitive data such as health details to what your service requires.
  • Hold any license or qualification your services need, and stay within your scope of practice.
  • Answer your clients' questions, requests and complaints, including privacy requests.
  • Deliver what you sell, and honor your own refund and cancellation terms.

Acceptable use

You may not use Ceiling to:

  • Break the law or anyone's rights, including privacy and intellectual property rights.
  • Send spam or email people who did not agree to hear from you.
  • Harass, threaten or exploit anyone, or share sexual content involving minors.
  • Sell anything illegal or anything Stripe does not allow.
  • Make health claims you cannot support, or present AI output as professional medical advice.
  • Upload malware, probe or overload our systems, or get around limits or security.
  • Copy, resell or reverse engineer Ceiling, or use it to build a competing product.

We may remove content or limit features that break these rules.

Plans and fees

  • Plans are billed monthly or yearly in advance and renew until you cancel. Add-ons such as the AI team, extra coaches and video hours are billed the same way.
  • Prices are on our pricing page or in your order. Taxes are extra where they apply.
  • You can cancel any time. Cancellation takes effect at the end of the paid period. We do not refund partial periods unless the law requires it.
  • If a payment fails, Stripe retries it. If it still fails, your account may be paused.
  • We will give you at least 30 days' notice before a price increase applies to you.
  • While Ceiling is in beta, nothing is charged. We will ask before anything is.

Payments from your clients

Your clients pay you through your own Stripe Connect account. You are the seller. By connecting, you also agree to the Stripe Connected Account Agreement, which governs your payments.

  • Ceiling charges a platform fee of 0.5% on each payment processed through Ceiling, unless your plan says otherwise. Stripe's own processing fees are separate.
  • Refunds, disputes and chargebacks are yours to handle, and their cost is yours. Ceiling does not make refunds to your clients.
  • You are responsible for the taxes on your sales.
  • Stripe may hold or delay payouts under its own terms.

AI features

AI features draft replies, sum up check-ins and suggest content. AI can be wrong.

  • A person on your team approves every message before it is sent to a client. You are responsible for what you send.
  • AI output is not medical, nutrition, legal or financial advice.
  • Usage limits may apply to your plan.
  • We do not use your content or your clients' content to train AI models.

Health and fitness disclaimer

Ceiling is software. It is not a health care provider and does not give medical advice. Nothing in Ceiling is a diagnosis or treatment. Exercise and diet changes carry risk, and clients should talk to a doctor before starting.

Ceiling is not an emergency service. It may show crisis resources and alert a coach, but it does not monitor anyone and cannot promise a response. In an emergency, call your local emergency number.

Our intellectual property

Ceiling, its software, design and brand belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use Ceiling for your business while your account is active. If you send us feedback, we may use it without owing you anything.

Your content

You keep ownership of everything you and your clients put into Ceiling. You give us a worldwide, non-exclusive license to host, copy, process, transmit and display that content only to provide and improve the service and as you direct. The license ends when the content is deleted, except for copies in backups until they expire.

You confirm you have the rights you need to the content you upload, including permission from the people in it.

Connected services

Ceiling works with services such as Stripe, Google, Microsoft, Meta and Junction. When you connect one, its own terms apply too. We are not responsible for services we do not control.

Availability and changes

We work to keep Ceiling running and secure, but we do not promise it will always be available or free of errors unless we agree otherwise in writing. We may change or retire features. If a change takes away something important to you, we will tell you in advance where we can.

Suspension and termination

You can stop using Ceiling and cancel at any time. We may suspend or end your account if you break these terms, do not pay, put others at risk, or if the law requires it. We will give notice and a chance to fix the problem where that is reasonable.

Export on exit

Your business is yours to take with you. When your account ends, it is paused for 90 days. During that time you can sign in, use Download everything to export your clients, programs, content, messages and media, or restart. After the pause, we delete your business's data as our privacy policy describes. Your clients' subscriptions stop renewing at the end of their paid period, and they are told before.

Disclaimers

Except as these terms say, Ceiling is provided as is and as available. To the extent the law allows, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about Ceiling is limited to the greater of the amount you paid us in the 12 months before the claim and $100.

These limits do not apply to your payment obligations, your indemnity below, or liability the law does not allow us to limit.

Indemnity

You will defend and indemnify Ceiling against claims, losses and costs that arise from your content, the services you provide to your clients, your relationship with your clients, or your breach of these terms or the law.

Governing law and disputes

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law rules. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days. Any claim must be brought in the state or federal courts located in Wisconsin, and both parties consent to their jurisdiction.

General

These terms, our privacy policy and any order or data processing terms we sign with you are the whole agreement between us. If a part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver. You may not transfer these terms without our consent. We may transfer them as part of a merger or sale of the business.

Changes to these terms

We may update these terms. We will post the new version here and update the date at the top. If a change is significant, we will tell you at least 30 days before it takes effect. If you keep using Ceiling after that, the new terms apply.
